Eligibility and accounts

Tradewinds is intended for business and professional use. You must provide accurate account information, protect your credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account and for ensuring that your authorized users comply with these Terms.

Our service

Tradewinds provides tools intended to help customers manage freight operations, including dispatch, driver workflows, documents, invoicing, compliance, reporting, and related features. Availability and functionality may change as we improve the service. Tradewinds does not provide legal, tax, accounting, safety, insurance, dispatch, or regulatory advice, and you remain responsible for your business decisions and compliance obligations.

Your content and responsibilities

You retain ownership of information and materials you submit to Tradewinds (“Customer Content”). You grant Bizforge a limited right to host, process, transmit, and display Customer Content solely to provide, secure, support, and improve Tradewinds. You are responsible for ensuring you have the rights and permissions needed to submit Customer Content and for maintaining required notices, consents, and records.

Acceptable use

You may not misuse Tradewinds, including by attempting unauthorized access, interfering with service operation, introducing harmful code, bypassing security controls, using the service unlawfully, infringing others’ rights, or using the service to process information in violation of applicable law. We may suspend or restrict access where reasonably necessary to protect the service, users, or third parties.

Third-party services

Tradewinds may interoperate with third-party services, including payment, email, analytics, accounting, or other operational providers. Your use of third-party services is subject to their terms and privacy policies. Bizforge is not responsible for third-party services, their availability, or their practices.

Fees and payment

If you purchase paid services, applicable pricing, billing terms, taxes, and payment details will be provided at or before purchase. Unless otherwise stated in a written agreement, fees are non-refundable to the extent permitted by law. Stripe may process payments on our behalf.

Intellectual property

Bizforge and its licensors own all rights in Tradewinds, including its software, design, documentation, and trademarks. Subject to these Terms and any applicable order or subscription terms, we grant you a limited, non-exclusive, non-transferable right to use Tradewinds for your internal business purposes during the applicable subscription period.

Disclaimers

To the maximum extent permitted by law, Tradewinds is provided “as is” and “as available.” Bizforge disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Tradewinds will be uninterrupted, error-free, or suitable for every use case.

Limitation of liability

To the maximum extent permitted by law, Bizforge will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption. Bizforge’s total liability arising from or relating to Tradewinds will not exceed the amounts you paid to Bizforge for the service giving rise to the claim during the 12 months before the event giving rise to liability.

Termination

You may stop using Tradewinds at any time, subject to any applicable subscription terms. We may suspend or terminate access for material breach, unlawful use, security risk, or nonpayment. Upon termination, your right to use Tradewinds ends. Provisions that by their nature should survive termination will survive.

Governing law and venue

These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law rules. Any dispute arising from or relating to these Terms or Tradewinds must be brought exclusively in the state or federal courts located in South Carolina, and each party consents to that jurisdiction and venue.

Changes to these Terms

We may update these Terms from time to time. We will post the updated version here and revise its effective date. Continued use after an update becomes effective constitutes acceptance of the updated Terms to the extent permitted by law.
